Job Description:

Responsibilities

• Advising clients on legal issues relating to FEMA, Company Law, M&A, SEBI Takeover and other regulations.
• Carrying out legal due diligence of companies/LLPs for the clients.
• Compliance with all statutory and legal compliances applicable to Indian companies including companies/LLPs having foreign shareholders/ partners.
• Preparation of various notices, papers, minutes and other documents with regards to calling and convening of Board and General Meetings of members as per the provisions of the Companies Act, 2013 and other applicable provisions
• Follow up with the Ministry of Corporate Affairs (MCA), RBI and other Regulators, for filing/registration of any Forms/ Documents or to submit any information as required.
• Drafting of all kinds of commercial contracts including JVA and Shareholders’ agreement.
• General Corporate advisory.
• Incorporation of companies/ LLPs.

Qualification & Experience

• Company Secretary registered with ICSI. (LLB is an added advantage)
• 3-6 years of experience
