Job Description:
Responsibilities
- perform all functions and responsibilities of the company secretary under The Companies Act, 2013¸ India, including preparation for Board Meetings and other activities for the Board of Directors;
- manage legal and statutory compliance by:
- proactively monitoring and maintaining a current knowledge and understanding of changes in laws and regulations relevant to the company;
- convening, leading and coordinating the monthly statutory compliance and governance meeting with the India Board of Directors, including advising on best corporate governance practices;
- monitoring and suggesting improvements in statutory compliance processes and activities across departmental functions and service lines;
- regularly reporting on the filing of statutory returns and statutory remittances by departmental functions and service lines;
- managing all statutory requirements under company law, eg: convening of statutory meetings i.e. CSR, Board and general meetings and maintenance of minutes;
- maintaining statutory registers, eg: register of members, Directors, charges, beneficial owners, etc;
- filing necessary returns & forms with Registrar of Companies and Ministry of Corporate Affairs;
- effectively interacting with and appearing before statutory authorities, including labour authorities (eg: Labour Department, Employees Provident Fund Organization, Employees State Insurance), Registrar of Companies, Ministry of Corporate Affairs, Reserve Bank of India and Courts;
- drafting replies to notices received from statutory authorities and attending to summons issued to the company and Directors;
- trustee of “Unisys India Private Limited Employees Gratuity Fund Trust”; and
- providing assistance and support to the company’s global legal and compliance teams with managing and resolving legal and compliance issues and transactional work, including merger and acquisition activities.
Qualification & Experience
- Proven experience in interacting effectively with executive management, business leaders and multiple stakeholders across all levels of large organizations;
- a sound knowledge and understanding of laws and regulations and compliance requirements relevant to the company’s operations;
- proven ability to effectively deal with government departments and regulatory agencies;
- a proactive, positive, “can do” attitude and the ability to effectively manage multiple competing priorities and activities in a complex, dynamic and fast-paced professional environment;
- sound commercial and regulatory compliance acumen and judgment;
- excellent verbal and written communication and presentation skills
- a strong ability to form effective working relationships across a broad range of stakeholders.
- Qualified Company Secretary holding a valid membership of The Institute of Company Secretaries of India and a Bachelor of Laws from a reputed University recognized by the Bar Council of India; and
- a minimum of 8 years of experience in performing the role of Company Secretary and Senior Paralegal at large companies in India.
