Job Description:
Responsibilities
- Lead, draft, negotiate, and close all forms of company contracts. This includes (but not limited to) Software Licensing Agreement, Resellers Agreements, Partnership Agreement, NDAs, and Referral Agreements.
- Interpret contractual terms and conditions and guide sales executives and management regarding contractual obligations.
- Develop, implement and maintain standard templates, forms and processes.
- Provide training to the sales and services teams that you support across the business as required.
- Guide the different team's on mitigating legal risks in the commercial context and work closely with cross functional teams across the business.
- Handle other project-based work within the scope of the legal department responsibilities on as-needed basis and provide compliance.
- Liaise with authorities in the region and address legal, employment and regulatory requirements relating to the Company's products and services.
- Support the company’s leadership team with due diligence on special projects, new initiatives and mergers acquisition opportunities on need basis
- Experience as a corporate attorney providing legal advice and negotiating agreements in software/technology.
- Able to demonstrate success working with sales teams in customer negotiations and contracting.
- In-depth understanding of contract law and software contract requirements and strong skills in negotiating SaaS agreements.
- Ability to learn quickly, work independently in a constantly changing and sometimes ambiguous and ambiguous environment and make sound decisions.
- Candidate is also responsible for the contract lifecycle management (i.e. storage of the contract in a repository and tracking renewals).
- The candidate is also required to: perform occasional review of RFPs and RFIs for legal terms, support the management and other functional teams on ad-hoc project/requests (e.g. being part of the POSH team), maintain and renew enterprise level insurance related to the business (professional indemnity, general liability, and workers compensation), and ad-hoc legal research projects.
Qualification & Experience
- 8-10 years of experience as in-house counsel role
- Educational background in LLB/ LLM is preferred.
- Understanding of relevant Data Privacy laws (e.g. GDPR, DPA, CCPA) is preferable
- Must include 4 years of transactional expertise in SaaS, software, data, complex licensing, vendor contracts, commercial agreements, etc.
- Must have experience partnering directly with clients on a daily basis
