Job Description:
As a Corporate Legal Officer, you will play a vital role in ensuring that the company complies with all relevant laws and regulations, while also providing strategic legal counsel to support the organization's business objectives. Key responsibilities include:
1. Legal Compliance:
• Stay current with all relevant laws and regulations affecting the company.
• Monitor and ensure compliance with federal and state laws.
• Develop and implement compliance policies and procedures.
2. Contracts and Agreements:
• Draft, review, and negotiate contracts, agreements, and legal documents.
• Provide legal advice on contract terms and potential risks.
• Manage contract lifecycle, including renewals and terminations.
3. Private equity transactions:
• Legal due diligence in private equity transactions.
• Contract negotiations and deal closure for private equity transactions.
• Dealing with external legal advisers and client legal representatives.
4. Corporate Governance:
• Assist in corporate governance matters, including board meetings and filings.
• Ensure compliance with corporate policies and procedures.
• Maintain corporate records and documentation.
5. Risk Management:
• Identify legal risks and propose proactive measures to mitigate them.
• Collaborate with insurance providers and manage insurance-related matters.
6. Regulatory Affairs:
• Interface with government agencies and regulatory bodies as required.
• Prepare and submit regulatory filings and reports.
7. Legal Research and Analysis:
• Conduct legal research and analysis to provide informed legal opinions.
• Stay updated on legal developments impacting the industry.
8. Training and Education:
• Conduct legal training sessions for company employees to enhance legal awareness.
Qualifications:
• Bachelor’s degree in law from an accredited law school.
• Admitted to the bar and licensed to practice law in the relevant jurisdiction.
• Five years of relevant legal experience, preferably in a corporate setting.
• Strong knowledge of corporate and commercial law.
• Excellent communication and negotiation skills.
• Attention to detail and strong analytical abilities.
• Ability to work independently and as part of a team.
• Exceptional problem-solving skills.
