Job Description:

Responsibilities

• Draft and review investment documents, shareholder agreements, commercial contracts, and transaction-related documentation.
• Conduct legal research on corporate, regulatory, and data privacy laws.
• Provide advisory support on private equity and venture capital investments, fund-related matters, and M&A transactions.
• Assist in due diligence exercises and transaction structuring.
• Advise on regulatory compliance requirements for companies and investors.
• Engage directly with founders, investment funds, and family offices.
• Manage client communications and deliver strategic legal solutions.

Qualification & Experience

• LL.B. degree from a recognised law school.
• LL.M. degree or specialisation in Corporate/Commercial Law will be an advantage.
• 2–4 years of experience in:
• Corporate Law;
• Private Equity and Venture Capital transactions; or
• Mergers and Acquisitions.
• Prior law firm experience in Private Equity, Venture Capital, M&A, or commercial transactions is mandatory.
• Strong understanding of:
• Companies Act;
• FEMA;
• SEBI Regulations; and
• General corporate and commercial laws.
• Experience in drafting and negotiating:
• Shareholders’ Agreements (SHA);
• Share Subscription Agreements (SSA);
• Share Purchase Agreements (SPA);
• Term Sheets; and
• Commercial Agreements.
• Experience in due diligence, transaction structuring, and regulatory compliance matters.
• Familiarity with the start-up ecosystem, cap tables, ESOPs, and fund investments will be preferred.
• Strong legal research, analytical, and communication skills.
• Ability to manage multiple matters and work within strict timelines.
