Associate – General Corporate

Job Description:

Responsibilities

• Draft, review, and negotiate commercial contracts and agreements.Advise clients on company law, corporate governance, and regulatory compliance.
• Prepare  and review transaction documents, including Shareholders’ Agreements (SHA), Share Subscription Agreements (SSA), Share Purchase Agreements (SPA), and related documentation.
• Conduct legal due diligence and prepare due diligence reports.
• Support corporate restructuring, business reorganisations, and strategic transactions.
• Liaise with clients, regulatory authorities, and external advisors.
• Undertake legal research and prepare opinions, notes, and transaction documents.

Qualification & Experience

• LL.B. from a recognised university with enrolment with the Bar Council of India.
• 2-3 years of post-qualification experience in corporate and commercial law.
• Strong drafting, negotiation, and analytical skills.
• Sound understanding of the Companies Act, FEMA, contract law, and corporate transactions.
• Excellent communication and client management skills.
• Ability to work independently as well as collaboratively in a fast-paced environment
