Job Description:
Responsibilities
- Address firm-wide inquiries through the AskOTS database on corporate governance, legal entity, and signing-authority matters.
- Prepare Powers of Attorney, Incumbency Certificates, and Secretary's Certificates.
- Prepare and maintain the Authorized Signatory Lists, ensuring timely updates in accordance with internal procedures.
- Review and update signing-authority instruments, including Powers of Attorney and Delegations of Authority, in the required systems.
- Coordinate monthly cost-center changes and update signing-authority records in GEMS.
- Transactional legal support: Draft, review, and negotiate a range of corporate documents with clients (e.g., NDAs, including back-to-back agreements and joinders; non-reliance and reliance letters; commitment and syndication letters; and medium-term note issuances and program updates).
- Provide legal analysis and support on legal projects and documentation, including collaboration on large or complex matters, deals, and remediation projects.
- Provide gap analysis and a summary of transaction- and client-specific deviations in negotiated agreements against standardized templates, playbooks, and policy manuals to identify discrepancies and escalation mechanisms, and to manage remediation exercises.
- Identify potential assignments or requests suitable for automation, and work with the relevant technology teams to develop solutions.
Qualification & Experience
- Qualified Company Secretary with a law degree from a premier law school in India.
- 2+ years of post-qualification experience (PQE).
- Strong drafting, negotiation, and legal analytical skills.
- Excellent verbal and written communication skills, with the ability to interact with senior business personnel and stakeholders in other functions.
- A strong sense of ownership and exceptional teamwork skills, collaborating effectively with colleagues to achieve common objectives.
- Strong interpersonal and presentation skills.
- Ability to identify and escalate issues in a timely and appropriate manner.
- Comfort working with metrics and data-measurement systems.
