Job Description:
Responsibilities
- Corporate Governance & Entity Management
- Manage the corporate secretarial function for multiple legal entities across global jurisdictions.
- Maintain statutory registers, corporate records, board meeting minutes, and governance documentation.
- Coordinate incorporation, dissolution, restructuring, and liquidation of entities globally.
- Ensure entities remain compliant with local corporate laws and governance obligations.
- Manage annual compliance calendars and statutory filing requirements.
- Board & Shareholder Support
- Organize board meetings, committee meetings, and shareholder meetings across jurisdictions.
- Prepare board resolutions, minutes and required forms as per the governance documentation requirements across jurisdictions
- Coordinate execution of board approvals, written resolutions, and powers of attorney.
- Support directors with governance-related matters and compliance obligations.
- Work with the local consultants to ensure the documentation and filing requirements
- Regulatory & Statutory Compliance
- Coordinate annual filings, beneficial ownership filings, director changes, share allotments, and other corporate actions.
- Liaise with external legal counsel, notaries, regulators, and corporate service providers.
- Ensure compliance with AML/KYC requirements for banks and regulatory authorities.
- Monitor regulatory changes impacting corporate governance obligations globally.
- Cross-Functional Collaboration
- Partner with Legal, Tax, Finance, HR, Treasury, and external advisors on entity-related matters.
- Support audits, due diligence exercises, M&A transactions, and internal restructuring projects.
- Assist with maintaining governance frameworks, delegation matrices, and signing authority records.
- Process Improvement & Governance Operations
- Drive standardization and automation of global entity management processes.
- Maintain and enhance entity management systems and compliance trackers.
- Develop SOPs and governance best practices for global subsidiaries.
Qualification & Experience
- Bachelor’s degree in Law, Commerce, Business Administration, or related field.
- Qualified Company Secretary (CS) in India, Chartered Governance Professional, or equivalent preferred.
- Specific experience on India Company Secretarial matters as will be appointed as India company secretary to board
- 5+ years of company secretarial/corporate governance experience in a multinational corporation, law firm, or corporate services environment.
- Has to be a member of Institute of Company Secretaries of India (ICSI)
- Experience managing entities across multiple jurisdictions (e.g., APAC, EMEA, Americas).
- Strong understanding of global corporate governance and statutory compliance requirements.
