Job Description:
Responsibilities
- Contracting & Documentation
- Draft, review, negotiate, and manage NDAs, CDAs, MSAs, and SOWs with customers, partners, and vendors.
- Support standardization of commercial and legal templates across the organization.
- Ensure contracts align with company policies, risk thresholds, and applicable laws.
- Clause Library & Knowledge Management
- Create, maintain, and update a centralized clause library for commonly used contractual provisions.
- Identify recurring legal issues and propose standard fallback clauses and playbooks.
- Support continuous improvement of legal templates based on negotiation learnings.
- Contract Lifecycle Management
- Assist with contract lifecycle processes including drafting, execution, amendments, renewals, and termination.
- Track key contractual obligations, milestones, and risk items.
- Support audit readiness by ensuring proper documentation and version control.
- Stakeholder & Cross-Functional Support
- Work closely with Sales, Finance, Procurement, and Delivery teams to enable timely contract execution.
- Provide basic legal guidance on commercial terms, data protection, confidentiality, and liability.
- Coordinate with external counsel when required.
- Compliance & Risk Support
- Support compliance with data protection, confidentiality, and information security obligations.
- Assist in identifying and flagging commercial and legal risks early in deal discussions.
- Maintain organized records for legal and compliance reviews.
Qualification & Experience
- 2–4 years of legal experience, preferably in the IT / technology / services industry.
- Bachelor’s degree in Law (LLB) from a recognized institution.
- Hands-on experience with – NDAs, CDAs, MSAs, SOWs
- Strong drafting and contract review skills.
- High attention to detail and strong organizational skills.
- Preferred / Good to Have
- Exposure to global clients and cross-border contracts.
- Familiarity with contract lifecycle management (CLM) tools.
- Basic understanding of:
- Data protection and privacy concepts
- Commercial risk allocation (liability caps, indemnities, IP)
- Experience working in a fast-paced, growing organization
