Job Description:
Responsibilities
- Advise internal clients directly regarding procurement matters and help them to mitigate legal issues associated with our global-scale supply chain.
- Draft, review, and negotiate a wide variety of complex commercial agreements, including Software-as-a-Service (SaaS), technology, and IT procurement contracts, data protection agreements and security addenda, along with other day-to-day operational agreements (consulting, professional services, hardware purchasing, etc.).
- Act as lead procurement counsel for all strategically important / high-value contracting, including cloud services agreements, data center agreements, and strategic buy/sell transactions in coordination with GTM Legal.
- Direct day-to-day operations of the Vendor Contract Management team responsible for reviewing and negotiating procurement contracts.
- Work closely with the Vendor Management Office (Sourcing, Security, IT, and Procurement Operations) and the Senior Director, Vendor Management to set policies and continuously improve workflows to decrease time-to-contract and improve risk-management and commercial outcomes.
- Work closely with the Security and Compliance teams to maintain the company's security posture across our global supply chain through a combination of contractual, technical, and business process solutions.
- Draft and maintain buy-side contracting templates and processes and our contract management “playbook,” with a particular emphasis on IT, technology and infrastructure platform licensing, software and SaaS licensing, and IT-related professional services.
- Engage with internal and external stakeholders (including VP and CxO-level) in different technical and business disciplines (engineering and product development, security, compliance, People Operations, etc.) and translate legal concepts/concerns into language they will understand and can act upon.
Qualification & Experience
- 5 – 7 years experience negotiating commercial contracts with a solid knowledge of technology and contract law and data protection principles.
- Attention to detail and excellence in contract drafting and dispute management, as well as ability to communicate in a precise, effective manner with various teams and customers.
- Proficiency negotiating topics such as privacy, security, and data protection in the commercial contract context.
- Excellent English-language writing skills (technical and colloquial).
- Patience, good humor, and the ability to give and receive feedback graciously.
- Ability to work on your own and prioritize multiple, often competing, deliverables while managing expectations and meeting deadlines across matter types and time zones.
- Outstanding interpersonal skills and the ability to coordinate effectively and gain trust and confidence with personnel at many different levels.
- Active bar license in good standing in the state in which you reside.
- 2+ years of in-house experience with a multinational corporation (which may include secondments and in-house placements via alternative legal services providers).
- Understanding of software development, design, or product management processes.
- CIPP/E certification or similar privacy law experience, especially including experience in India privacy law.
